Terms of Service

1. The Service

Opverio is a business service that monitors public business information — company announcements, disclosures, procurement notices, news and research — and helps you find market signals, opportunities, competitor movements and prospects, with AI-assisted analysis, reports and alerts.

We continuously improve the Service and may add, change or remove features. Features marked beta or preview are provided as they are and may change or end. If we remove a core feature of a paid plan, we will tell you in advance.

2. Accounts, team and workspaces

• You must be at least 18, give accurate information and keep it current.
• Keep your password secret. You are responsible for activity under your account and must tell us at hello@opverio.ai if you suspect unauthorized use.
• Each user needs their own login. Users and workspaces are limited by your plan; workspaces of one account share its plan allowance.
• The account admin controls members, workspaces, billing and settings. When a member is removed, their access ends; the workspace content stays with the account.
• Do not misrepresent your identity or your affiliation with a company, or impersonate any person or organization.

3. Electronic communications

You agree that we may communicate with you electronically — by email or in the app — about your account, invoices, security, changes to the Service and these Terms, and the reports and alerts you choose. These service messages are part of the Service. Product news is sent only if you opt in, and you can unsubscribe at any time in Settings → Notifications or through the link in the email.

4. Plans, trial and payment

• Prices are in Indonesian Rupiah (IDR) and shown on the pricing page or in your order or invoice. Taxes (such as VAT/PPN) are added where applicable.
• A free trial gives temporary access to a plan without payment details. When it ends, the workspace moves to the free plan if it fits within it, or monitoring is paused until you choose a plan.
• Paid plans are billed in advance, monthly or annually (annual billing at the discount shown). We send an invoice before each new period; access continues once it is paid. Payment is made by bank transfer or through our payment provider, whose terms apply to the payment.
• Opverio is a digital service: nothing is shipped. Access to a plan or add-on is activated online in your account once payment is confirmed — immediately for payments through our payment provider, and usually within one business day after we confirm a bank transfer. The invoice and receipt are sent by email and are available in Settings → Subscription.
• If a price or plan detail is shown wrongly because of an obvious error, we may decline or cancel the order; if you have already paid, we will refund the amount or let you buy at the correct price.
• If an invoice is not paid by the end of the period, the subscription becomes overdue; after a short grace period (currently 7 days) monitoring is paused. Your data is kept as described in the Privacy Policy, and paying the invoice resumes the plan.
• You can cancel at any time in Settings → Subscription; the plan stays active until the end of the paid period and is not renewed.
• Payments are non-refundable, including for unused time or allowance, except where the law requires a refund or where we charged you in error.
• Add-ons such as extra WhatsApp messages are paid in advance, are added to the account once paid, do not expire while the account exists and are non-refundable.
• We may change prices with at least 30 days' notice; changes apply from your next billing period.

5. Fair use and limits

Plans include limits — for example companies, topics, markets, users, workspaces, questions per day and AI budget. Limits exist to keep the Service reliable and affordable; when one is reached, the related feature waits until the next period or until you upgrade or buy an add-on.

6. Nature of the information and AI output

• Items labelled FACT summarize what the cited public source says. Sources can be wrong, incomplete or out of date — always check the linked evidence before acting.
• Items labelled AI ANALYSIS, AUTOMATED ANALYSIS or POSSIBLE OPPORTUNITY are inferences generated by software. They are not statements that any company intends to buy anything, and may contain errors.
• Scores, rankings and trends are prioritization aids, not predictions.
• Nothing in the Service is investment, legal, tax or financial advice. You remain responsible for your decisions and for verifying information before relying on it.

7. Third-party content and sources

Source content belongs to its publishers and rights holders. Opverio shows titles, short excerpts and links for reference and research, and does not republish full articles. When you open a source, the publisher's terms apply.

If you believe content in the Service infringes your rights, write to hello@opverio.ai with the details and we will review it promptly.

8. Your content and responsibilities

You keep ownership of what you put into the Service — company profile, watchlists, notes, actions, prospect data and feedback ("Your Content"). You give us a limited licence to host, process and display Your Content only to provide, secure and improve the Service for you.

You confirm that Your Content does not contain viruses or other harmful code and is not unlawful, defamatory, abusive or infringing.

You are responsible for Your Content and for having the right to use it. When you contact businesses found through Opverio (by email, phone or WhatsApp), you must comply with applicable law, including the UU PDP and rules on unsolicited messages, and with the platform's own terms.

9. Acceptable use

You must not:

• access other customers' data or attempt to bypass security, limits or access controls;
• scrape, crawl or bulk-export the Service beyond the features provided, or resell, sublicense or redistribute its output as a competing data product;
• reverse engineer the Service or use it to build a competing service;
• share logins or let people outside your account use the Service;
• use the Service for spam, harassment, discrimination, unlawful surveillance of individuals or any unlawful purpose;
• upload malware or interfere with the Service, or run security tests without our written permission.

10. Our intellectual property

The Service — software, design, models, scoring methods, compiled databases, documentation and the Opverio name and logo — belongs to us or our licensors and is protected by the copyright and trademark laws of Indonesia and other countries.

While your subscription is active we grant you a non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes. You may not modify, adapt, decompile, disassemble or reverse engineer any part of it, create derivative works from it, or let third parties use or access it. You may use reports and exports internally in your business. No other rights are transferred.

If you send us feedback or suggestions, we may use them without obligation to you.

11. Support

You can reach us by email at hello@opverio.ai, by WhatsApp at (+62) 877-6900-9733 or through the chat on opverio.ai. We answer on Indonesian business days; Pro and Enterprise customers get priority support.

To help with onboarding or a support request, authorized Opverio staff may sign in to your workspace with time-limited access. Every such session is logged in the audit log, and staff may not change your password.

12. Confidentiality

Each party will keep the other's non-public business information confidential and use it only for the purpose of these Terms. It may be shared with directors, employees, group companies and professional advisers who need it for that purpose and are bound by confidentiality, or where disclosure is required by law.

13. Availability

We aim to keep the Service available and to fix problems quickly, but it is provided without a guaranteed uptime unless a separate Enterprise agreement says otherwise. Maintenance, provider outages and events outside our control may interrupt it.

14. Suspension and termination

You may close your account at any time. We may suspend or end access with immediate effect if you seriously or repeatedly breach these Terms, do not pay, endanger the security or operation of the Service, stop doing business or become unable to pay your debts, or if required by law; where reasonable we will warn you first. Amounts already due remain payable. After closure, Your Content is deleted as described in the Privacy Policy; ask us before closing if you need an export. Sections that by their nature should survive (payment, intellectual property, disclaimers, liability, governing law) continue after termination.

15. Our commitments and disclaimer

We will use reasonable efforts to provide the Service with reasonable care and skill in line with these Terms, take reasonable steps to protect it against security breaches, and we have the right and authority to provide it.

Beyond that, and to the extent permitted by law, the Service is provided "as is" and "as available". We do not warrant that it is error-free or uninterrupted, or that information from public sources or AI output is accurate, complete or current.

16. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental or consequential losses, including lost profits, revenue, business opportunities or data, and our total liability for all claims relating to the Service is limited to the fees you paid for the Service in the three (3) months before the event giving rise to the claim. Nothing limits liability that cannot be limited under Indonesian law.

17. Indemnity

You will compensate us for claims, losses and reasonable costs arising from Your Content, your breach of these Terms or your unlawful use of the Service, including how you contact businesses found through it.

18. Force majeure

Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as natural disasters, epidemics, government action, war, power or network failures, or outages of major service providers.

19. Governing law and disputes

These Terms are governed by the laws of the Republic of Indonesia. The parties will first try to settle any dispute amicably within 30 days of written notice. If that fails, the dispute will be resolved by the competent District Court in Jakarta, unless a separate written agreement provides otherwise.

20. Changes to these Terms

We may update these Terms. The date at the top shows the current version; for material changes we will notify account admins by email or in the app at least 14 days before they take effect. If you continue to use the Service after that, the updated Terms apply; if you do not agree, you may cancel before they take effect.

21. General

• These Terms, the Privacy Policy and any order, invoice or Enterprise agreement form the whole agreement; a signed Enterprise agreement prevails where it differs.
• These Terms are available in Indonesian and English. If the versions differ, the Indonesian version prevails, in line with Law No. 24 of 2009.
• You may not transfer your account or these Terms without our consent; we may transfer them to a successor of our business.
• If a provision is invalid, the rest remains in force. Not enforcing a provision is not a waiver.
• Notices to you are sent to the account admin's email or shown in the app; notices to us go to hello@opverio.ai.
